Under Section 738 (2) of the Companies Act 2014 the CSSO has the authority to issue, on behalf of the Minister for Public Expenditure, NDP Delivery & Reform and the Registrar of Companies, a letter of consent to restore a company that has been struck off.
The application to restore should be made on notice to and served on:
In the case of a creditor’s application: the Secretary and all persons listed as directors of the company (usually also joined as Notice Parties to the proceedings).
Proceedings should be served on the relevant offices above at least 14 days prior to the return date.
The Affidavit on which the application to restore is grounded must state that no claim is made by the Petitioner that the State has in any way, directly or indirectly, intermeddled with the assets of the company and that they are not aware of any such claim being made by a third party.
On receipt of the application, the CSSO will seek instructions from our clients.
A fee of €350 must be sent by electronic funds transfer to the Chief State Solicitor's Office before the letter of consent is sent.
